Terms of Engagement & Platform Protocols
Defining the contractual covenants, intermediary fee protections, confidentiality duties, and platform conditions governing interactions with Prime Investments Multi Services LLC.
1. Acceptance & Institutional Scope
These Terms of Engagement (“Terms”) constitute a legally binding agreement between you—whether acting as an individual principal, enterprise executive, commercial real estate broker, financial intermediary, or institutional co-investor—and Prime Investments Multi Services LLC (“Prime Investments,” “the Enterprise,” “we,” or “us”).
By accessing this digital portal (PrimeInvestmentsGlobal.com), submitting an acquisition teaser, requesting dataroom credentials, or engaging in bilateral discussions regarding commercial real estate acquisitions, business succession buyouts, or operational restructurings, you acknowledge that you have read, understood, and agreed to be governed by these Terms.
2. No Public Securities Offering or Retail Investment Advice
Absence of Public Solicitation: Nothing contained on this website, within our marketing materials, or inside our preliminary teasers constitutes an offer to sell, or a solicitation of an offer to buy, any security, financial instrument, or public investment fund in any jurisdiction.
Prime Investments operates as a principal private equity, direct asset acquisitions, and commercial real estate development enterprise. All transactions are negotiated directly between sophisticated accredited entities under private contractual frameworks. We do not provide retail investment advice, tax counseling, or public brokerage services. Any syndicated co-investment opportunities are conducted strictly under private placement exemptions (including Regulation D under the United States Securities Act of 1933) available exclusively to verified institutional and accredited allocators.
3. Commercial Broker Protocols & Commission Protection
We deeply value relationships with licensed commercial real estate brokers, investment bankers, M&A advisors, and certified business intermediaries. To promote mutually profitable collaboration, Prime Investments maintains an unyielding Intermediary Protection Covenant:
- Fee Recognition: We honor industry-standard fee agreements, buyer representation contracts, and success fee arrangements on proprietary off-market opportunities introduced to our desk.
- Expedited Underwriting: Our acquisitions committee guarantees initial underwriting feedback within 48 to 72 business hours upon receipt of an executive summary, rent roll, or financial model.
- Direct Transparency: We never bypass introducing brokers to communicate directly with property owners or business sellers without the introducing intermediary’s express prior consent.
4. Non-Circumvention & Proprietary Deal Flow
All parties reviewing confidential commercial teasers, investment memoranda, or facility specifications made available by Prime Investments agree that such materials represent proprietary work product.
Recipients agree not to circumvent, avoid, bypass, or obviate Prime Investments, directly or indirectly, with respect to any transaction, tenant, property parcel, co-investor, or business seller introduced by or through Prime Investments. Any breach of this covenant entitles Prime Investments to injunctive relief and full compensatory damages under Florida commercial law.
5. Proprietary Intellectual Property & Brand Rights
All content, visual typography, proprietary underwriting matrices, architectural facility renderings, codebases, and brand trademarks—including the official corporate mark “PRIME INVESTMENTS MULTI SERVICES LLC”, the institutional 3D “P” insignia, and the tagline “American Industry. Global Opportunity. The Next Century of Innovation.”—are the exclusive intellectual property of Prime Investments.
Unauthorized reproduction, scraping, reverse-engineering, framing, or commercial reuse of our digital property or research methodologies without written executive authorization is strictly prohibited.
6. Digital Portal & Confidential Dataroom Protocols
Access to our virtual datarooms, institutional deal sheets, and detailed underwriting models is strictly conditioned upon:
- Execution of a formal Mutual Non-Disclosure Agreement (NDA).
- Authentication of executive identity and organizational accreditation.
- Agreement that all digital session activity is logged for security and regulatory compliance.
7. Forward-Looking Statements & Underwriting Assumptions
Statements throughout our portals regarding target enterprise valuations ($10M–$150M+), projected commercial yields, infrastructure timelines, and macroeconomic expansion in Florida and the Southeast represent strategic forward-looking objectives.
They do not constitute guarantees of historical performance or absolute future outcomes. Actual returns and operational results are subject to macroeconomic variables, interest rate cycles, tenant credit performance, and statutory permitting approvals.
8. Governing Law & Binding Commercial Arbitration
These Terms, and all transactions, disputes, or claims arising out of or related to this digital portal or preliminary deal interactions, shall be governed by, and construed in accordance with, the laws of the State of Florida, United States, without regard to conflict of law principles.
Any dispute arising hereunder shall be submitted to confidential, binding commercial arbitration administered by the American Arbitration Association (AAA) in Miami-Dade County, Florida, before a single retired judge or specialized commercial arbitrator.
